Terms of Service

1. Acceptance of Terms
By accessing or using CodeAstra ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.
CodeAstra is provided by CodeAstra Inc. ("we", "us", "our"). These terms apply to all users, whether you are on the free Starter plan or a paid Pro or Enterprise subscription.
2. Service Description
CodeAstra is an AI-native integrated development environment (IDE) that provides:
• AI Agent Workflows — Context-aware AI agents that read, plan, and execute across your codebase
• WebContainer Sandboxes — Isolated browser-based runtime environments for code execution
• Multi-Model Support — Access to various AI models including Claude, GPT, and Gemini
• Project Management — Create, import, and manage development projects
• GitHub Integration — Import and sync repositories from GitHub
The Service is provided on an "as-is" basis, and we continuously work to improve functionality and reliability.
3. User Accounts
To use CodeAstra, you must create an account through our authentication provider (Clerk). You are responsible for:
• Maintaining the security of your account credentials
• All activities that occur under your account
• Ensuring your account information is accurate and current
• Notifying us immediately of any unauthorized use
We reserve the right to suspend or terminate accounts that violate these terms or engage in abusive behavior.
4. Intellectual Property & Code Ownership
Your Code: You retain full ownership of all code you create, import, or modify within CodeAstra. We claim no intellectual property rights over your projects, source code, or generated output.
AI-Generated Code: Code generated by AI agents within CodeAstra is provided to you without restriction. You are free to use, modify, distribute, and commercialize any AI-generated code.
Our Platform: The CodeAstra platform, including its design, features, and underlying technology, is protected by intellectual property laws. You may not copy, modify, or reverse-engineer the Service.
5. Acceptable Use
You agree not to use CodeAstra to:
• Generate malicious code, malware, or exploit kits
• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Attempt to gain unauthorized access to our systems or other users' data
• Conduct denial-of-service attacks or abuse sandbox resources
• Store or process sensitive personal data (PII, PHI) without appropriate safeguards
• Use automated tools to scrape, crawl, or extract data from the Service
Violation of these terms may result in immediate account suspension.
6. Subscription & Billing
Free Tier: The Starter plan is provided at no cost with usage limits as described on our pricing page.
Paid Plans: Pro and Enterprise subscriptions are billed monthly or annually. Prices are in USD and exclude applicable taxes.
Cancellation: You may cancel your subscription at any time. Access continues until the end of your current billing period. No refunds are provided for partial billing periods.
Changes: We may modify pricing with 30 days' notice. Existing subscribers will be notified before any price changes take effect.
7. Service Availability & SLA
We strive to maintain high availability of the Service. Our current status and uptime history are available at codeastra.dev/status.
Starter & Pro plans are provided without a formal SLA.
Enterprise plans include a 99.9% uptime SLA with service credits for qualifying downtime events. Details are provided in your Enterprise agreement.
Scheduled maintenance windows will be communicated at least 48 hours in advance when possible.
8. Limitation of Liability
To the maximum extent permitted by law:
• CodeAstra is provided "AS IS" without warranties of any kind
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim
• We are not responsible for the accuracy, quality, or safety of AI-generated code
• You are solely responsible for reviewing and testing all code before deployment to production environments
9. Modifications & Termination
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect.
We may terminate or suspend your access to the Service at our discretion, with or without cause, upon reasonable notice. Upon termination, you may export your data for 30 days.
